The Board of Directors is Clalit Health Services' most senior managerial forum. It is responsible for planning policy and supervising management. Members of the Board of Directors are representatives of the public, and are appointed by a public body headed by a retired judge. A third of the Board's members are appointed by the New Histadrut (General Federation of Labor) after their qualifications have been approved by the public body. Clalit's Director General serves as a Member on the basis of his position. Clalit's Board of Directors convenes once a month.
- Plans and approves Clalit's managerial, budgeting and health services.
- Appoints the Director General, determines the term of his tenure and employment.
- Approves the Director General's proposals for appointments of senior officeholders.
- Approves the Director General's proposals for Clalit's work plans.
- Approves Clalit's budgets.
- Approves Clalit's financial statements.
- Approves the organizational framework of management and its principal units.
- Appoints Clalit's internal auditing function, determines its format, organization and budget, and approves the internal auditor's annual internal audit plan.
To make its work more efficient, the Board of Directors appoints, from among its members, various committees to deal with finance, internal controls, human resources, organization, services etc.

Chair of the National Institute for Rehabilitation of the Brain Injured. Member of various public committees, and currently serves as Chair of the Share Committee of Bank Leumi Le'Israel. Osama Hassan, CPA
Education: BA in Economics and Accounting, Haifa University. Professional and Public Experience: Manages a Self-Employed Accountancy Firm since 1984; Board Member of Clalit 1995-2003; Board Member of Arab Israel Bank Ltd. 1998-2002; Board Member of Clal Insurance Company since 2006; and Board Member of Clalit since September 2012.
Dr. Hanita Zimrin
Education: PhD in Social Work, The Hebrew University of Jerusalem. Professional and Public Experience: Founder and Director of Eli – Israel Association for Child Protection; Member of Public Forums on Legislation, Standards, Policy Formation, and Care in the field of Children and Adolescents; Member of the Israel's Agency for International Development Cooperation of the Ministry of Foreign Affairs (MASHAV), active in the teaching and consulting to establish infrastructures for child welfare services in third world countries; winner of the Distinguished Career Award from the International Society for Prevention of Child Abuse and Neglect; Board Member of Clalit since September 2012.
Education: MBA in Business Administration from Tel Aviv University, MA in Government science with specialization in Terrorism Prevention from the Interdisciplinary Center Herzliya, BA in Economics and Philosophy from Tel Aviv University. Business and Professional Experience: CEO of NetVision from 2001 to 2007. Barniv led the company's IPO on the Tel Aviv Stock Exchange and its merge with Barak and Globecall. Chairman of the Board of Directors of Shikun Ubinuy Group between 2007 and 2012, where she led to a transition to profitability, and its entry into the field of renewable energies. Between 2013 and 2015 served as the Chairman of the Board of Directors of Tnuva Food Company. Currently, Barniv is a director of Ormat Industries, a member of the board of the "Ametz Lohem" project at the Association for the Soldier, one of the initiators of the Institute for Internet Research at Tel Aviv University, and member of the Board of Directors of the Batsheva Dance group, member of the Board of Directors of Ruppin College and member of the board of directors of the Lehav - School of Management of Tel Aviv University.
Prof. Jacob Yahav
Education: Graduate of the School of Medicine, The Tel Aviv University, Professor of Pediatrics, Hebrew University of Jerusalem. An expert on pediatrics, gastroenterology, pediatric gastroenterology, and medical management. Business and Public Experience: Director of Kaplan and Hertzfeld Hospitals between 2007 and 2016. Director of The Beilinson Hospital between 1997 and 2007, Deputy Director of the Sheba Medical Center (Tel Hashomer) 1990-1997 Member of the National Council of Pediatrics since 2009, Member of the Appeals Committee of IDF Disabled and Nazi Victims in the Tel Aviv Magistrate's Court, Rishon Lezion and Herzliya since 2015. Member of the Board of Directors of Beterem since 2016. Advisor to the Medical Director of the National Insurance Institute, Consultant for research in the field of hospital construction in the Faculty of Architecture at the Technion since 2016. Member of the Board of Directors since November 2017.
BA in Humanities and Social Sciences, Ben-Gurion University, MA Graduate of the Department of Social and Political Sciences, University of Haifa. She is a graduate of National Security Studies at the IDF National Defense College. Business and Public Experience: She served in senior positions in the IDF until 2014, her last position was head of the Personnel Branch of the General Staff with the rank of Major General, and later served as Chairman of the WIZO between 2016-2014. She currently serves as CEO of the National Projects Fund, the director of Shavit Company in the Ministry of Defense, the director of Rom Fund for employees of local authorities, the member of the Maoz Executive Committee and the member of Mifal Hapayis Public Advisory Council. She is also a member of the Executive Committee of the Israel Democracy Institute and the lecturer at Bar-Ilan University and at Interdisciplinary Center in Herzliya. On the 66th Independence Day, she was honored to be torchbearer at the torch lighting ceremony, She She was awarded the President of State of Israel Prize for Outstanding Contribution to the society in the Field of Security and the Ben-Gurion University Award for an important and influential contribution to the society.
Education: BA in economics from the Hebrew University, diploma in business administration from the Technion and graduate of the Social Policy and Administration Program in Elka (Association for the Advancement of Manpower in Social Services in Israel). Public and Business Experience: Until 2016 he served as Senior Deputy of General Accountant at Ministry of Finance in the Social Economic Division. Member of the Boards of Directors in public and business companies: Bezeq, provident funds of Bank Yahav, Inbal Insurance Company, Eilat Beach Development Company.
